Terms of Service

These Terms of Service (“Terms”) govern your access to and use of DialAct, a call-answering service that uses AI voice agents (“Service”), provided by DialAct Ltd (“DialAct”, “we”, “us”, or “our”). By creating an account or using the Service, you (“you” or “Customer”) agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.

1. Acceptance of Terms

By accessing or using DialAct, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them and our Privacy Policy (available at dialact.app/privacy). If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

2. Description of Service

DialAct is a cloud-based call-answering service that enables businesses to deploy AI voice agents to answer telephone calls, capture leads, book appointments, answer frequently asked questions, and handle customer interactions on a 24/7 basis. The Service includes:

  • An online dashboard for configuring and managing AI agents
  • Inbound and outbound telephony via Twilio phone numbers
  • AI voice processing
  • Google Calendar integration for appointment booking
  • A knowledge base for training your agent on your business information
  • Call recordings, transcripts, analytics, and lead management tools
  • Integrations with third-party tools (Slack, HubSpot, Zapier)
  • A developer API for programmatic access

The Service is provided on an “as available” basis. We do not guarantee uninterrupted availability, except as set out in our Service Level Agreement (dialact.app/sla) for the plans it covers. Planned maintenance windows will be announced at least 24 hours in advance where possible.

3. Account Registration

To use DialAct, you must register for an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

You must notify us immediately at hello@dialact.app if you become aware of any unauthorised access to your account. DialAct is not liable for any losses caused by unauthorised use of your account if you have not taken reasonable steps to keep your credentials secure.

You may not share your account with third parties, create multiple accounts to circumvent plan limits, or transfer your account to another party without our written consent.

4. Acceptable Use

You agree to use DialAct only for lawful business purposes and in line with every law that applies to you. In particular:

  • No unsolicited marketing. Do not use DialAct to make marketing calls (cold calling) or send marketing texts to anyone who has not given you their prior consent.
  • Do-not-call rules and calling hours. Check outbound numbers against every do-not-call list that applies, such as the Telephone Preference Service (TPS and CTPS) in the UK and the National Do Not Call Registry in the US. Honour opt-out requests, and only call within the hours the law allows.
  • No protected health information in the United States. Do not use DialAct to collect, store or process protected health information, as defined by HIPAA, until a business associate agreement between you and DialAct is in place.
  • No impersonation. Do not impersonate another person or business, mislead callers about who they are speaking to, or set up your agent to claim it is a human.
  • No illegal or harmful content. Do not use the Service for harassing, threatening, abusive or fraudulent calls or messages, or for any content that is illegal or harmful.
  • Collect and process personal data only in line with data protection law, including UK GDPR and GDPR.
  • Do not try to get round security controls, rate limits or access restrictions, or reverse engineer, decompile or extract the source code of the platform.
  • Do not resell, sublicense or white-label the Service without our written permission.
  • Do not use the Service for any illegal activity, including fraud, money laundering, or unlicensed financial or medical advice.

Telemarketing compliance

You are solely responsible for ensuring that your use of DialAct's outbound calling features complies with all applicable telemarketing, direct marketing, and electronic communications laws in every jurisdiction where you make calls. This includes but is not limited to: obtaining required consents, checking numbers against national do-not-call registries, honouring opt-out requests, and making required disclosures. DialAct provides DNC list tools as a convenience but does not provide legal compliance advisory services.

DialAct may suspend or close any account that breaks these rules or applicable law. Where we reasonably believe a breach is serious, we may do so immediately and without notice.

5. Subscription and Billing

Access to DialAct requires a paid subscription, billed monthly or annually in advance. Prices are as stated on our pricing page (dialact.app) at the time you subscribe, in the currency of your price list.

Trial: You can test your agent in the browser without a card. To use a real phone number, you start a 14-day trial, which needs a card and includes up to 50 minutes of calls. Your first payment is taken when the trial ends unless you cancel before then.

Usage: Each plan includes a number of call minutes per billing month. Minutes beyond that are charged at your plan's overage rate, measured per second and billed in arrears. Overage stops at your spend cap, which starts at one month of your plan price and which you can change in Settings → Billing. Our Billing documentation explains how minutes are counted.

Payments are processed by Stripe. By subscribing, you authorise DialAct (via Stripe) to charge your designated payment method on each renewal, and for any usage charges, until you cancel. If a payment fails, we will retry up to three times over 7 days. If payment remains outstanding after this period, we may suspend access to your account until payment is made.

Auto-renewal: Your subscription renews automatically at the end of each billing period, monthly or annual, unless cancelled before the renewal date. You can cancel at any time from Settings → Billing in the dashboard.

Cancellation: When you cancel, your subscription remains active until the end of the current billing period.

Refunds

If DialAct is not right for you, you can have your first payment refunded in full, whether it was for a monthly or an annual plan. Email hello@dialact.app within 30 days of that payment. After that, we do not give refunds for partial billing periods, including the unused part of a month or year when you cancel or downgrade. Nothing in this section affects any rights you have under law that cannot be excluded.

Price changes: We reserve the right to change our prices. We will give you at least 30 days' written notice before any price increase takes effect, and you may cancel your subscription before the increase applies.

All prices exclude VAT, GST and sales tax, which are added where they apply. UK VAT at the applicable rate is added for UK customers.

6. Intellectual Property

DialAct's IP: The DialAct platform, including its software, design, trademarks, and documentation, is owned by DialAct Ltd and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the term of your subscription. No other rights are granted.

Your data: You retain ownership of all data you upload to or generate through DialAct — including your knowledge base content, agent prompts, contact records, and call transcripts. You grant DialAct a limited licence to store, process, and transmit this data solely to provide the Service to you. This licence terminates when you delete the data or close your account.

Feedback: If you provide suggestions or feedback about the Service, you grant DialAct a perpetual, royalty-free licence to use that feedback to improve the Service without any obligation to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI limitations: DialAct uses AI to generate spoken responses. AI systems can make mistakes — they may misunderstand callers, provide inaccurate information, or fail to handle edge cases. You acknowledge that the AI agent is not infallible and should not be relied upon as the sole method of handling business-critical interactions without appropriate human oversight.

Not an emergency service: DialAct is an AI call-answering tool for routine business interactions. It is not designed, configured, or intended to handle emergency situations. You must not use DialAct as a substitute for emergency services. If a caller attempts to report an emergency, the agent will not be able to contact emergency services on their behalf. Callers should always be directed to call 999 (UK), 911 (US), or their local emergency number in genuine emergencies.

Third-party services: DialAct depends on third-party providers including Twilio, Stripe, and others. We do not guarantee the availability or performance of these providers and are not liable for disruptions caused by third-party service failures.

8. Limitation of Liability

To the maximum extent permitted by law, DialAct's total liability to you for any claim arising from or related to these Terms or the Service will not exceed the total fees paid by you to DialAct in the 12 months preceding the event giving rise to the claim.

In no event will DialAct be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of customers, or loss of business opportunity, even if DialAct has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless DialAct Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in breach of these Terms, (b) your violation of any applicable law or regulation, (c) any content you upload to the platform, or (d) your AI agent's interactions with your callers.

10. Termination

You may cancel your subscription at any time via the dashboard. DialAct may suspend or terminate your account immediately, without notice, if you breach these Terms, engage in illegal activity, or if required to do so by law.

Upon termination, your right to use the Service ceases immediately. Your data is retained for 30 days after termination and then deleted, except where law requires longer retention. You may export your data within this 30-day window.

11. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer residing in a jurisdiction with mandatory local consumer protection laws, in which case those protections apply.

Before initiating legal proceedings, we ask that you contact us at hello@dialact.app to attempt to resolve any dispute informally. We will endeavour to respond within 5 business days.

12. General

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and DialAct regarding your use of the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms without our prior written consent. DialAct may assign its rights to an acquirer in connection with a merger or acquisition.

13. Contact

Questions about these Terms should be sent to hello@dialact.app. DialAct Ltd, registered in England and Wales.
